Agreement to Terms
By accessing my website or engaging my services as a freelance web developer, web app developer and logo designer, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, please do not use my services.
Services Offered
I provide professional services including but not limited to:
- Custom website development (responsive, SEO-optimized, high-performance)
- Custom web app development (PWAs, real-time apps, SaaS products)
- Modern frontend development using React, Next.js, and Tailwind CSS
- Advanced web application features and cloud integration
- Logo design and visual identity systems
- Brand strategy and UI/UX prototyping
- Website maintenance and performance optimization
Project Engagement
Proposals and Agreements
All projects begin with a detailed proposal outlining scope, deliverables, timeline, and pricing. A signed agreement or written acceptance is required before work commences.
Project Scope
The agreed-upon scope defines the work to be completed. Any changes or additional work beyond the original scope will be considered a separate project or amendment, subject to additional fees and timeline adjustments.
Client Responsibilities
Clients must provide necessary materials, content, access credentials, and timely feedback. Delays caused by late client input may result in timeline extensions without liability on my part.
Payment Terms
Payment Structure: Projects typically require 50% upfront payment to commence work and 50% upon completion. Larger projects may have milestone-based payments.
Accepted Methods: I accept payments via PayPal, Stripe, bank transfer, and cryptocurrency.
Late Payments: Final deliverables will not be released until full payment is received. Invoices unpaid after 30 days may incur a 5% late fee per month.
Refunds: Due to the custom nature of my work, refunds are generally not provided once work has commenced. Refund eligibility will be determined on a case-by-case basis if I fail to deliver agreed-upon services.
Intellectual Property
Client Ownership
Upon full payment, you own the final deliverables (code, designs, logos) created specifically for your project. This includes the right to use, modify, and distribute the work.
Developer Rights
I retain the right to:
- Use the project in my portfolio and marketing materials
- Reuse general code techniques, patterns, and non-proprietary components
- Reference the project as a case study (with your permission)
Third-Party Components
Projects may include open-source libraries, frameworks, or licensed resources. These remain subject to their original licenses and are not transferred as part of project ownership.
Revisions and Changes
The number of revision rounds is specified in your project package:
- Starter Package: 1 revision round
- Professional Package: 3 revision rounds
- Enterprise Package: Unlimited revision iterations
Additional revisions beyond the included rounds will be billed at my hourly rate. Major scope changes may require a new proposal.
Timelines and Delivery
Project timelines are estimates based on the package selected and assume timely client feedback:
- Starter Package: 1-2 weeks
- Professional Package: 3-4 weeks
- Enterprise Package: 6-7 weeks
While I strive to meet all deadlines, timelines may be extended due to unforeseen circumstances, scope changes, or client delays. I am not liable for losses resulting from delivery delays.
Warranties and Disclaimers
Quality Guarantee: I guarantee that all work will be completed with professional standards and will function as agreed upon delivery.
Bug Fixes: I provide 30 days of free bug fixes after project completion for issues arising from my work (not from third-party services or client modifications).
No Warranty: Beyond the above, services are provided "as is" without warranties of any kind, express or implied, including but not limited to merchantability or fitness for a particular purpose.
Limitation of Liability
To the fullest extent permitted by law, I shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of my services. My total liability shall not exceed the total amount paid for the specific project.
Confidentiality
I understand that during our engagement, I may have access to confidential information. I agree to maintain the confidentiality of such information and not disclose it to third parties without your consent. I am happy to sign a Non-Disclosure Agreement (NDA) upon request.
Termination
By Client: You may terminate the project at any time with written notice. You will be billed for work completed up to the termination date, and any upfront payment is non-refundable.
By Developer: I reserve the right to terminate a project if payment terms are not met, if you breach these terms, or if continued collaboration becomes untenable. In such cases, you will receive work completed to date upon payment of outstanding invoices.
Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration in accordance with the laws of Tamil Nadu, India. Each party bears their own legal costs.
Indemnification
You agree to indemnify and hold me harmless from any claims, damages, or expenses arising from your use of the deliverables, your breach of these terms, or your violation of any laws or third-party rights.
Changes to Terms
I reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting. Your continued use of my services after changes constitutes acceptance of the new terms. For ongoing projects, existing agreements remain under the terms in effect at the time of signing.
Entire Agreement
These Terms of Service, together with any project-specific proposals or agreements, constitute the entire agreement between you and me regarding my services and supersede all prior communications and proposals.
